CLIENT TERMS AND CONDITIONS

These Client Terms and Conditions (this "Agreement"), effective as of the date on which you execute with Avora an Order that incorporates this Agreement by reference (the "Effective Date"), is by and between ShowAndTell, Inc., a Delaware corporation, doing business as "Avora" ("Avora"), with offices located at 576 Sacramento Street, Floor 5, San Francisco, CA 94111 and the entity on whose behalf the individual accepting this Agreement accepts this Agreement ("Client"). The individual accepting this Agreement hereby represents and warrants that it is duly authorized by the entity on whose behalf it accepts this Agreement to so accept this Agreement. Client and Avora may be referred to herein collectively as the "Parties" or individually as a "Party." The Parties agree as follows:
